5. Project Settlement

The final project settlement will be based on the actual design opening dimensions. When submitting for settlement, Party B must provide relevant material supply receipts, certificates of conformity, and inspection reports to verify the authenticity of materials and the project volume.

6. Responsibilities of Both Parties

  1. Party A’s Responsibilities:
    1.1. Party A is responsible for coordinating on-site logistics and providing free space for material storage, water, electricity, and vertical transportation.
    1.2. Party A shall make payments according to the terms specified in the contract.
  2. Party B’s Responsibilities:
    2.1. Party B shall organize construction strictly according to the design drawings, construction specifications, and the requirements of Party A to ensure the project passes the fire inspection in one attempt.

If Party B fails to respond within the agreed timeframe, Party A may hire a third party to complete the repairs, and the costs will be deducted from the quality guarantee deposit. If Party B delays or refuses repairs, causing losses to Party A, Party B will be held liable for compensation.

8. Breach of Contract

  1. If Party B fails to complete the project on time due to their fault, Party B shall pay Party A a penalty of 100 RMB/day. If the delay is due to Party A’s fault, Party A shall bear corresponding responsibility.
  2. If Party A fails to make payments according to the contract, Party A shall pay Party B a penalty of 2‰ per day of the unpaid amount.

9. Dispute Resolution

1. Basis of the Contract

The basis for this Contract includes:

  1. The “Contract Law of the People’s Republic of China”;
  2. Design standards, technical agreements, and construction drawings;
  3. The material supply list provided by Party B based on Party A’s drawings;
  4. National industry standards applicable to the products;
  5. The invitation for quotation.

2. Steel Fire Doors Specifications, Quantity, and Brand

  • The specific specifications, dimensions, and quantities must be confirmed through on-site measurements by both Party A and Party B. Party B is responsible for measuring and verifying the on-site specifications and quantities.

3. Total Contract Price

The total contract price in RMB includes all costs related to the completion of the project, such as labor, materials (including main materials, hardware, door locks, handles, glass windows, installation accessories, etc.), transportation, unloading, packaging, machinery use, testing and inspection, optimization design, and risk costs during installation. The quotation also includes potential price increase risks and other miscellaneous costs (e.g., vertical transportation). The contract price includes glass windows at 170 RMB per piece (specification 220×620). If glass windows are not required, their cost will be deducted from the total price. Grouting costs are not included in the total price and will be paid directly by the construction unit based on on-site certification.


4. Technical Requirements for Steel Fire Doors

  1. Door Frame Steel Plate: Cold-rolled galvanized steel plate, thickness ≥ 1.5mm
  2. Door Panel Steel Plate: Cold-rolled galvanized steel plate, thickness ≥ 0.8mm

This bond will be refunded without interest within 10 days after project acceptance. If Party B fails to pay the bond as required, Party A may terminate the Contract at any time.
  2. Within 30 days of signing the Contract, Party B must ensure the delivery of doors and windows. After delivery, installation must be completed within 20 days. Party A will notify Party B 10 days in advance for door panel delivery, and installation must be completed within 20 days after delivery. If Party B fails to supply or install as per the contract schedule, the performance bond for the construction period will be forfeited, and Party B will be liable for all losses and legal responsibilities. If the quality of the supplied steel fire doors or installation does not meet standards, the quality performance bond will be forfeited.
  3. Party B must deliver the products to Party A’s construction site free of charge.
  4. Party B must provide a warranty letter for the supplied products at the time of contract signing; otherwise, Party B will be disqualified from supplying. The warranty period for the products is two years. Any quality issues during the warranty period will be repaired or replaced free of charge. The warranty bond is 5% of the settlement amount, refunded without interest within 30 days after the warranty period ends.
  5. Party C is responsible for the brand and pricing of the invited suppliers.

6. Payment Terms

  1. Within 7 working days of signing this Contract, Party A will pay Party B a 30% advance payment.
  2. 70% of the contract price will be paid within 10 days of door frame delivery on-site. 85% will be paid upon delivery of door panels. 95% of the contract price will be paid after the entire installation is completed and accepted. The remaining 5% will be retained as a quality warranty fund and paid within one month after the warranty period ends (without interest).

7. Packaging Requirements

All products provided by Party B must be packaged according to product requirements. Packaging costs are included in the total contract price and will not incur additional charges.


8. Delivery and Inspection

  1. Party B is responsible for transportation, loading, and insurance, and all related costs are covered by Party B (included in the total price).
  2. Prior to delivery, Party B must conduct a thorough inspection of the product quality, specifications, and models, and provide a delivery list with the products. Party B guarantees that the products are new and unused.
  3. Upon delivery, Party A and the construction unit will inspect the products, and signing the delivery list will be considered as acceptance of external quality (internal quality will be assessed after the warranty period).
  4. After installation and acceptance by the fire department, Party A and Party B, along with the construction unit, will sign the settlement list.

9. Quality Guarantee

  1. The warranty period is two years after the completion and acceptance of the project.
  2. During the warranty period, Party B will provide free maintenance and replacement services. After the warranty period, Party B will continue to offer related services at discounted prices and provide related parts.
  3. Party B will not be liable for quality issues arising from:
  • Unauthorized repairs, modifications, or dismantling by non-authorized personnel.
  • Damage caused by human factors, natural disasters such as floods, fires, earthquakes, etc.

10. Dispute Resolution

  1. Any disputes arising from or related to this Contract should be resolved through amicable negotiation. If negotiations fail, either party may submit the dispute for mediation and litigation as per the contract regulations.
  2. All disputes under this Contract will be under the jurisdiction of the People’s Court at the location of the damage.

  1. This Contract becomes effective upon signature or seal by authorized representatives of both parties. The Contract is made in nine copies, with Party A, Party B, and the construction unit each holding three copies. The Contract will terminate upon expiration of the warranty period.
  2. Technical agreements, drawings, product lists, invitation for procurement, Party B’s quotation, and commitment letters have equal legal effect.
  3. Party B’s installation or supply personnel must comply with safety operation regulations, wear safety helmets, avoid unauthorized entry into hazardous areas, and refrain from dangerous operations. All responsibilities and economic losses arising from safety accidents will be borne by Party B.
  4. Any matters not covered in this Contract will be resolved through negotiation between the parties.
